TERMS AND CONDITIONS
TOURNAMENT

1. General
   1. These tournament general terms and conditions (”Terms”) govern your participation in tournaments for players of UNKJD Soccer (the ”Game”), organized by UNKJD Limited (the ”Company”, ”UNKJD”, ”We”, ”Us”), active on the dates outlined on the Website with regards to each tournament (the ”Tournament”).
   2. These terms govern the particular aspects of the Tournament and should be read together with https://unkjd.games  and https://unkjd.com(the ”Website”) Terms of Use, Privacy Policy, and Cookie Policy, Game’s Terms of Use, and any other Company`s terms, notices, and documents, as published at Website.
   3. In case of contradiction, the terms of the Tournament will prevail with respect to all issues specifically addressed in these Terms.
   4. By participating in the Tournament, you agree to comply with these Terms. If you do not agree with any part of these Terms, you should not participate in the Tournament.
   5. The Tournament is designed to allow participants to participate in the Game and present their personal skills and abilities, such as: coordination, reaction speed, understanding, game experience and more. It is clarified that the Tournament is based on the Game’s unique rules, goals and scoring method, according to the specific definitions of the Game.
   6. The Terms regulate the terms and conditions of participation in the Tournament and are a contract for all intents and purposes. Acceptance of the Terms without change is a condition for participation in the games. The company reserves the right to change and/or update the regulations at any time, at its sole and absolute discretion, without the need for prior notice, and any change will be binding from the moment it is published on the Website.
   7. In any case of any contradiction and/or inconsistency between the provisions of these Terms and any other publications regarding the Tournament, including information appearing on the Website, and with the exception of a notice from the Company regarding a change to these Terms, the provisions of these Terms shall prevail for all intents and purposes.
   8. The participants (as defined below) confirm that they have read and understand and that they agree to all the provisions of these Terms and release the Company from any claim and/or demand and/or liabilities in connection with the Tournament and/or the Terms and/or any malfunctions in connection with the Game and/or Tournament and waive any claim related to these, without exception.
2. Eligibility:
   1. The Tournament is open to individuals who meet the following criteria:
      1. Participating in the Tournament according to its terms as outlined in the Website;
      2. Such an individual is not a citizen, national, resident (tax or otherwise), green card holder and/or Restricted Person of any Restricted Jurisdiction (as defined below). “Restricted Jurisdiction” means (a) British Virgin Islands, Israel, Cuba, Iran, North Korea, Sudan, Syria, Lebanon, Russia and the Crimea, Donetsk or Luhansk regions of Ukraine; (b) any jurisdiction listed in any sanction list issued by (i) the United States of America, (ii) the United Nations Security Council, (iii) the European Union, (iv) the United Kingdom, (v) Israel or (vi) the respective governmental institutions of any of the foregoing including, without limitation, the Financial Action Task Force (FATF), Her Majesty’s Treasury, the Office of Foreign Assets Control of the US Department of the Treasury, the US Department of Commerce, the US Department of State or any other agency of the US government, the Israeli Ministry of Finance and the Israeli Ministry of Defense, each as amended, supplemented or substituted from time to time; or (c) any other jurisdiction which prohibits or requires any supervision oversight licensing regulatory compliance legal compliance and/or prior approval from any regulatory (or similar) authority or body or form any monetary or securities body or authority for the purchase of digital currencies or any similar activity or product. “Restricted Persons” refers to any individual, firm, company, partnership, trust, corporation, entity, government, state or agency of a state or any other incorporated or unincorporated body or association, association or partnership (whether or not having separate legal personality) that is established and/or lawfully existing under the laws of a Restricted Jurisdiction or is listed under any sanction list administered a country stated above.

3. Tournament Rules:
   1. During the Tournament the Game will be conducted according to the Game׳s rules and mechanics specified by the Company, which are available on the Website.
   2. Participants must familiarize themselves with the rules and functionalities of the Game and agree to abide by them.
   3. The Company reserves the right to modify or amend the Tournament and/or the Game׳s rules at any time, including the cancellation of the Tournament, and such changes will be effective immediately upon posting on the Website or other means of communication.
4. Conduct:
   1. Participants must behave in a sportsmanlike manner and treat other participants with respect.
   2. Participants must not engage in any form of cheating, hacking, exploiting, or other unfair practices.
   3. Participants must not engage in any form of harassment, discrimination, or abusive behaviour during the Tournament.
   4. The Company reserves the right to disqualify any Participant who violates these conduct guidelines.
5. Prizes:
   1. The total value of the prize(s) will be as outlined on the Website with regard to the specific Tournament.
   2. The minimum, maximum, and/or combined prize(s) shall be as outlined on the Website with regard to the specific Tournament.
   3. The prizes will be allocated to the Participants at the end of the Tournament according to these Terms.
   4. The Participant׳s total prizes in the Tournament will be according to the Participant׳s place on the ranking board and the amount of points such a Participant received in the Tournament, relative to the total tournament’s points(mix of place on the ranking board and personal points share).
   5. The Tournament points will be as outlined on the Website with regard to the specific Tournament.
   6. The Participants will be able to see their ranking position and their predicted prize during the course of the Tournament.
   7. The Company will monitor the ranking and points and may, at its sole discretion, update the ranking table, inter alia, in case of a mistake, malfunction, omission or failure of the Participant to comply with these Terms, and the Participants will make no claims and/or demands in connection with such update or change.
   8. In order to enjoy the Prize, Participants will have to actively claim the prizes, within 14-days of the end of the Tournament, by transferring the MBS to their personal Solana or Base (as applicable), associated with the Game, according to the below:
      1. Prizes worth below $5 USD will be granted in Game Energy (and not in MBS).
      2. Participants can claim Prizes above $5 USD via a Solana or Base crypto wallet, as long as such claiming crypto wallet is the same one as the Participant’s registered crypto wallet.
      3. Participants from the United States of America (citizens or residents, and its territories, including Puerto Rico) and Israel, will not be entitled to receive their Prize in MBS, and such Participants will be able to claim their Prize and receive off-chain Game Energy.
6. Intellectual Property
   1. All intellectual property rights, of any kind, including trademarks, trade secrets, copyrights and the like, whether these rights are registered or not, in connection with the Tournament, its design and any software, application, code, graphics and/or other video files, text files and other materials, either in the form of source code, or in an external interface, are the exclusive property of the Company.
   2. Each Participant agrees that he will not sell, modify, copy, publish, broadcast, present, perform reverse engineering operations, or prepare derivative works of any kind or description, for any information or content that is included in the Website and/or Game without prior approval in writing by the Company and that he will refrain from using the Website and/or Game in any way that may constitute a violation of the intellectual property rights of the Company or anyone on its behalf, without the Company׳s prior written consent.
7. Privacy
   1. Without derogating from the provisions of the privacy policy of the Website, the Game and from the above, the Participant understands that the details with which he registered on the Website are his personal details which are in accordance with the provisions of these Terms and according to which the winnings will be generated however they may be. It is clarified that it will not be possible to change these details for the purpose of producing the winnings.
   2. It is clarified that each Participant in the Tournament agrees that his score, including the position in the Tournament ranking, will be published to the other Participants׳ layers via the players’ ranking board of the Tournament and his profile picture or avatar, for the purpose of publishing the Tournament ranking, the winners in each match, and the list of winners in the Tournament or for any other need or purpose that the Company deems appropriate.
8. Limitation of Liability
   1. Participation in any stage of the Tournament is the sole responsibility of the Participant. The Company and/or anyone on its behalf will not be held responsible for any damage caused or will be caused to the Participants in connection with their participation.
   2. The Participant acknowledges that the Company will not bear any responsibility for any technical malfunction, unauthorized access to data or other malfunctions related to the Website, the Internet, the Game, servers or any other computer tools or systems, including deletion of data, failure to send a record or data and/or loss, damage or delay in sending.
   3. The Company will not be responsible for any malfunction of any kind, including malfunctions in the Internet and/or communication lines and/or hardware (including the Company׳s servers) and/or software and/or due to maintenance of the Website and/or Game that will be required from time to time and/or repairs on the Website and/or Game. Participation in the Tournament is the sole responsibility of the Participant, and the Company and/or anyone on its behalf will not be held responsible for any damage that may be caused to the Participant and/or any third party due to and/or in connection with his participation in the Tournament and/or the claiming of the prize, and the Participant hereby dismisses the Company and/or anyone on its behalf completely, definitively and irrevocably from responsibility for any damage, loss, loss or expense, of any kind and type whatsoever, which were caused and/or will be caused as a result of participating in the Tournament, winning and/or receiving a prize and its realization or non-realization. Without derogating from the generality of the above, to the extent that liability is imposed on the Company, its liability for any damage is limited to $25 USD.
   4. The Company will not be responsible for any direct and/or indirect damage, including direct and/or indirect expenses caused to the Participant, and/or to any third party due to participation in the Tournament, including in the event of a change to these Terms.
   5. In case of suspicion of misuse and/or fraud and/or illegal use of the Tournament and/or Game during the Tournament and/or Game and/or if the Participant has violated the rules of the Tournament and/or Game, the Company may block his participation in the Tournament immediately and without any further notice, and any right to a prize due to his participation will expire immediately. The Company reserves the right, at its sole discretion, to prevent a Participant from participating in the Tournament, and it will be entitled to delay or prevent the delivery of a prize to a Participant who committed an act of fraud, crime, bad faith or in violation of these Terms or any law and/or that may arise suspicion that he circumvented the rules of the Tournament and/or Game in any other way.
   6. The Participant will indemnify the Company and/or anyone on its behalf for any damage, liability, costs, expenses and/or losses (including legal expenses) that will be caused to the Company and/or anyone on its behalf in connection with any act or omission of the Participant during the Tournament as well as in connection with any violation of these Terms.
   7. The Company may not award the prize or block participation in the Tournament from anyone who accessed the Tournament, directly or indirectly, by means of an illegal act or that is not in accordance with the provisions of these Terms or in a way that is considered unfair (fraudulent or in any other way), all at the sole discretion of the Company and the Participants will not have any claims nor demands against the Company in connection with its decision as mentioned.
9. Miscellaneous
   1. Any tax, deduction or tax payment requirement will apply to the Participant and will be at the Participant sole expense and responsibility only. The Company will be entitled to transfer the details of the winners and/or withholding tax to the tax authorities.
   2. The Company is entitled to change the structure of the Tournament and/or Game, the way of winning the prizes, its stages, its nature, etc. at its sole discretion, and in cases that justify it will update the Participants through the Website. The Participants will not have any claim regarding the Company׳s right to act in the aforementioned manner.
   3. Participation in the game expresses full agreement to these Terms.
